In each of twelve prospectuses issued by Webster Dolilta Finance Ltd ABN 49 004 664 322 (the Company) the investment product offered under the prospectus has been referred to as "debentures". This is the description which has traditionally been applied to this form of investment on the basis of the distinction made under the Corporations Act between debentures and unsecured notes. In June 2010 in an update of Regulatory Guide 69, ASIC set out its view of the interpretation of the relevant section of the Corporations Act which was that an investment product of this nature should be formally described as an "unsecured note" or "unsecured deposit note" but that certain other descriptions could be used in the prospectus generally.
This prospectus is accordingly an offer to issue unsecured notes of the Company. Although there is a change in description the security of the investment remains unchanged: Sandhurst Trustees Limited holds a charge over all of the assets of the company as trustee for the investors in unsecured notes. In the prospectus these unsecured notes will be referred to as "WD Finance Investment Notes" or just "Notes".
No WD Finance Investment Notes will be issued on the basis of the prospectus after its expiry date of 30 November 2011. The Company reserves the right to close the Prospectus at an earlier date.
The Prospectus is an important document and should be read in its entirety. Before deciding to invest, you should consider whether WD Finance Investment Notes are a suitable investment for you.

The depositor protection provisions in section 13A of the Banking Act, 1959, will not cover Debenture Investments in the Company.
